END-USER LICENSE AGREEMENT
This End-User License Agreement (this “EULA”) is a legal agreement between you (“Licensee”) and aapoon, Inc. (“Licensor”), the author of aapoon, including all HTML files, XML files, Java files, graphics files, animation files, data files, technology, development tools, scripts and programs, both in object code and source code (the “Software”), the deliverables provided pursuant to this EULA, which may include associated media, printed materials, and “online” or electronic documentation.
By installing, copying, or otherwise using the Software, Licensee agrees to be bound by the terms and conditions set forth in this EULA. If Licensee does not agree to the terms and conditions set forth in this EULA, then Licensee may not download, install, or use the Software.
Grant of License
A) Scope of License: Subject to the terms of this EULA, Licensor hereby grants to Licensee a royalty-free, non-exclusive license to possess and to use a copy of the Software.
B) Installation and Use: Licensee may install and use a maximum of five (5) copies of the Software solely for Licensee’s business and personal use.
Description of Rights and Limitations
A) Limitations : Licensee and third parties may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding the limitation.
B) Update and Maintenance : Licensor shall provide updates and maintenance on the Software on an as needed basis.
C) Separation of Components : The Software is licensed as a single product. Its components may not be separated for use on more than one computer.
Title to Software : Licensor represents and warrants that it has the legal right to enter into and perform its obligations under this EULA, and that use by the Licensee of the Software, in accordance with the terms of this EULA, will not infringe upon the intellectual property rights of any third parties.
Intellectual Property : All now known or hereafter known tangible and intangible rights, title, interest, copyrights and moral rights in and to the Software, including but not limited to all images, photographs, animations, video, audio, music, text, data, computer code, algorithms, and information, are owned by Licensor. The Software is protected by all applicable copyright laws and international treaties.
Support : Licensor will provide email support, available during normal business hours from Monday to Friday. Support requests should be sent to support@aapoon.net
Duration: This EULA is perpetual or until:
A) Automatically terminated or suspended if Licensee fails to comply with any of the terms and conditions set forth in this EULA; or
B) Terminated or suspended by Licensor, with or without cause.
In the event this EULA is terminated, you must cease use of the Software and destroy all copies of the Software.
Jurisdiction : This EULA shall be deemed to have been made in, and shall be construed pursuant to the laws of the State of Texas, without regard to conflicts of laws provisions thereof. Any legal action or proceeding relating to this EULA shall be brought exclusively in courts located in Fortbend County, Texas, TX, and each party consents to the jurisdiction thereof. The prevailing party in any action to enforce this EULA shall be entitled to recover costs and expenses including, without limitation, attorneys’ fees. This EULA is made within the exclusive jurisdiction of the United States, and its jurisdiction shall supersede any other jurisdiction of either party’s election.
Non-Transferable : This EULA is not assignable or transferable by Licensee without the prior written consent of Licensor, and any attempt to do so shall be void.
Severability : No failure to exercise, and no delay in exercising, on the part of either party, any privilege, any power or any rights hereunder will operate as a waiver thereof, nor will any single or partial exercise of any right or power hereunder preclude further exercise of any other right hereunder. If any provision of this EULA shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this EULA shall otherwise remain in full force and effect and enforceable.
WARRANTY DISCLAIMER : LICENSOR, AND AUTHOR OF THE SOFTWARE, HEREBY EXPRESSLY DISCLAIM ANY WARRANTY FOR THE SOFTWARE. THE SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSEE ACCEPTS ANY AND ALL RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE.
LIMITATION OF LIABILITY : LICENSOR SHALL NOT BE LIABLE TO LICENSEE, OR ANY OTHER PERSON OR ENTITY CLAIMING THROUGH LICENSEE ANY LOSS OF PROFITS, INCOME, SAVINGS, OR ANY OTHER CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, DIRECT OR INDIRECT DAMAGE, WHETHER ARISING IN CONTRACT, TORT, WARRANTY, OR OTHERWISE. THESE LIMITATIONS SHALL APPLY REGARDLESS OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. UNDER NO CIRCUMSTANCES SHALL LICENSOR’S AGGREGATE LIABILITY TO LICENSEE, OR ANY OTHER PERSON OR ENTITY CLAIMING THROUGH LICENSEE, EXCEED THE FINANCIAL AMOUNT ACTUALLY PAID BY LICENSEE TO LICENSOR FOR THE SOFTWARE.
Entire Agreement : This EULA constitutes the entire agreement between Licensor and Licensee and supersedes all prior understandings of Licensor and Licensee, including any prior representation, statement, condition, or warranty with respect to the subject matter of this EULA.
Additional Provisions and/or Disclosures: There is no tolerance for objectionable content and abusive user.
GENERAL INSTRUCTIONS
WHAT IS AN END USER LICENSE AGREEMENT?
An End User License Agreement is a contract between two parties — the licensor and the licensee — for the right to use proprietary software. The licensor or vendor is often an individual or software company who created the software. The licensee is the user who pays a fee to use, download or install a copy of the software.
An End User License Agreement is often known by its abbreviated form EULA. An EULA protects the licensor or copyright owner of the software by prohibiting the licensee from re-selling the software for their own personal gain at your expense. A license essentially gives the user “permission” or a limited right to use the software.
WHEN IS IT NEEDED?
An End User License Agreement is commonly used when an individual or company gives creates proprietary software and would like to make money by allowing others to use the program in limited ways. If the licensor is worried about their copyright, an EULA prevents others from copying the source code, selling the software as their own, or transferring the software to a non-paying user.
Without an End User License Agreement, a software publisher is in many ways agreeing to a free and open-source software license. In these “copyleft” situations, all future versions of the software must continue to be distributed for free. Instead, if the individual or company who created the software wants to earn money, an EULA protects their source code and specially written program, mobile app, or website from being copied or used without permission.

WHAT SHOULD BE INCLUDED?
To be valid, an End User License Agreement must include at least the following:
Disclaimer of Warranties: the software is often provided “as is” and the licensor is not responsible for any problems that may arise from using the software
Governing Law : Which state’s laws will apply if there is a dispute or problem.
infringement acknowledgement the user is responsible for any legal issues related to copyrigh infringement.
Licensor : Name and address of the individual or company who created the software.
Licensee : Name and address of the user who wants to install or download the software.
License Granting : Limitations on how the software can be used by the licensee.
Limitations of Liability : Whether the licensor will be responsible for any damages or problems that arise from using the software.
Maintenance and Support : Whether the user will be provided support on site or by phone, either 24 hours 7 days per week, quarterly, or annually.
Software : Name or title of the computer software program created and now licensed.
Termination : Whether the software developer has the right to end the license if the user violates the EULA or other issues arise.
Use Restrictions : The licensee is limited in how they can legally or illegally use the software.

This End-User License Agreement (this “EULA”) is a legal agreement between you (“Licensee”) and Aapoon, Inc. (“Licensor”), the developer of Aapoon software products, including but not limited to Aapoon Messenger, Aapoon QVPN, Quantum Shield, Aapoon Meet, and any related updates, enhancements, or future offerings (collectively, the “Software”). The Software includes all associated files (e.g., HTML, XML, Java, graphics, data), technology, tools, scripts, and documentation, provided in object code and/or source code form, along with any electronic or printed materials.
By installing, copying, accessing, or otherwise using the Software, Licensee agrees to be bound by the terms and conditions of this EULA. If Licensee does not agree to these terms, Licensee must not download, install, or use the Software.
1. Grant of License
- A) Scope of License: Subject to this EULA, Licensor grants Licensee a royalty-free, non-exclusive, non-transferable license to possess and use the Software for Licensee’s internal business or personal purposes, in accordance with the designated use case for each product (e.g., secure messaging, VPN, video conferencing).
- B) Installation and Use: Installation and Use: Licensee may install and use the Software on a maximum of one (1) primary device and up to two (2) secondary devices owned or exclusively controlled by Licensee for authorized internal purposes only (e.g., business or personal use as designated). Additional licenses must be purchased from Licensor for expanded use, with prior written approval required for deployments exceeding three (3) devices. Licensee shall maintain records of device assignments and provide them to Licensor upon request to ensure compliance.
- C) Deployment: The Software may be deployed on Licensee’s infrastructure (on-premises, private cloud, or air-gapped environments) to ensure data sovereignty, as permitted under this EULA.
2. Description of Rights and Limitations
- A) Limitations:
- Licensee and third parties may not reverse engineer, decompile, disassemble, or modify the Software, except as expressly permitted by applicable U.S. federal law or Texas law, notwithstanding this limitation.
- Licensee shall not sublicense, rent, lease, or distribute the Software to third parties without prior written consent from Licensor.
- The Software’s components are licensed as a single product and may not be separated for use on multiple devices beyond the licensed limit.
- B) Update and Maintenance: Licensor will provide updates, patches, and maintenance for the Software as needed, at its discretion, to ensure compliance with security standards. Support details are outlined in Section 6.
- C) Intellectual Property: All rights, title, and interest in the Software, including copyrights, patents, trademarks, and trade secrets, are owned by Licensor. The Software is protected under the U.S. Copyright Act and international treaties. Licensee acknowledges that use of the Software does not transfer any ownership rights.
- D) Compliance: Licensee agrees to use the Software in compliance with all applicable federal, state, and local laws, including export control regulations (e.g., ITAR, EAR) if handling sensitive data.
3. Title to Software
Licensor warrants that it has the legal right to license the Software under this EULA and that its use, as permitted herein, will not infringe upon any third-party intellectual property rights. Licensee assumes all risk if the Software is used outside the scope of this EULA.
4. Support
Licensor will provide email support at support@aapoon.net, available Monday through Friday, 9:00 AM to 5:00 PM CST, excluding U.S. federal holidays. Response times are best-effort and may vary based on demand.
5. Duration and Termination
This EULA is effective perpetually unless:
- A) Automatically terminated if Licensee breaches any term, requiring immediate cessation of use and destruction of all Software copies; or
- B) Terminated by Licensor with written notice, with or without cause, requiring the same cessation and destruction.
Upon termination, Licensee must comply within ten (10) days.
6. Jurisdiction
This EULA is governed by the laws of the State of Texas, without regard to its conflict of laws principles, and federal laws of the United States. Any disputes shall be resolved exclusively in the state or federal courts located in Fort Bend County, Texas, to which both parties consent to jurisdiction. The prevailing party in any enforcement action shall recover reasonable attorneys’ fees and costs, as permitted under Texas Civil Practice and Remedies Code § 38.001. This EULA supersedes any other jurisdiction.
7. Non-Transferable
This EULA is non-assignable or non-transferable by Licensee without Licensor’s prior written consent, and any attempt to do so is void.
8. Severability
If any provision is deemed unenforceable under Texas or federal law by a court of competent jurisdiction, that provision shall be limited to the extent necessary to preserve the EULA’s enforceability, with all other terms remaining in effect.
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AS PERMITTED UNDER TEXAS BUSINESS AND COMMERCE CODE § 2.316. LICENSOR DISCLAIMS ALL LIABILITY FOR DAMAGES ARISING FROM USE OR INABILITY TO USE THE SOFTWARE.
10. Limitation of Liability
LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY, AS PROTECTED UNDER TEXAS LAW AND 15 U.S.C. § 2301 ET SEQ. LICENSOR’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE.
11. Entire Agreement
This EULA constitutes the entire agreement between Licensor and Licensee, superseding all prior representations or agreements, and may only be amended in writing signed by both parties.
12. Additional Provisions
- Prohibited Content: Licensee shall not use the Software for illegal activities, objectionable content, or to transmit malicious code, in violation of 18 U.S.C. § 1030 (Computer Fraud and Abuse Act).
- Export Compliance: Licensee must comply with U.S. export laws if transferring the Software or data internationally.
- Data Sovereignty: Licensee acknowledges that data processed by the Software remains under Licensee’s control on designated infrastructure, consistent with Licensor’s zero-access policy.
